TRUST AND CORPORATE SERVICES PROVIDERS (MISCELLANEOUS
AMENDMENTS) ACT, 2026

An Act to amend various Acts and Regulations to give effect to and make consequential
amendments arising from the enactment of the Trust and Corporate Services Providers Act, 2024
and to provide for related and incidental matters.
ENACTED by the Legislature of Anguilla.
PART 1
ANGUILLA FOUNDATION ACT
Interpretation
1. In this Part, “principal Act” means the Anguilla Foundation Act.
Amendment to section 1
2. Section 1 of the principal Act is amended by deleting the definition of “relevant licence”
and substituting it with the following definition—
““relevant licence” means a licence issued under the Trust and Corporate Services

Interpretation
3. In this Part, “principal Act” means the Anguilla Utility Token Offering Act, 2024.
Amendment to section 25
4. Section 25 of the principal Act is amended by deleting subsection (1)(g) and substituting it
with the following subsection—
“(g) the Trust and Corporate Services Providers Act;”.

ANGUILLA UTILITY TOKENS EXCHANGE ACT
Interpretation
5. In this Part, the “principal Act” means the Anguilla Utility Tokens Exchange Act.
Amendment to section 49
6. Section 49 of the principal Act is amended by deleting subsection (1)(h) and substituting it
with the following subsection—
“(h) the Trust and Corporate Services Providers Act;”.

BUSINESS COMPANIES ACT
Interpretation
7. In this Part, the “principal Act” means the Business Companies Act.
Amendment to section 84
8. Section 84 of the Principal Act is amended by deleting subsection (1)(a) and substituting it
with the following subsection—
“(a) the person ceases to hold a licence under the Trust and Corporate Services

Amendment to section 219
9. Section 219 of the Principal Act is amended by deleting subsection (2)(a) and substituting
it with the following subsection—
“(a) holds a licence under the Trust Companies and Corporate Services Providers Act
or any other applicable enactment;”.

REGISTRATION SYSTEM ACT
Interpretation
10. In this Part, “principal Act” means the Commercial Registry and Beneficial Ownership
Registration System Act.
Amendment to section 1
11. Section 1 of the principal Act is amended by deleting the definition of “trust or corporate
services provider” and substituting it with the following definition—
““trust or corporate services provider” means a trust or corporate services provider holding
a licence issued under the Trust and Corporate Services Providers Act.”.
PART 6
INSURANCE ACT
Interpretation
12. In this Part, “principal Act” means the Insurance Act.
Amendment to section 1
13. Section 1 of the principal Act is amended by deleting the definition of “principal
representative (insurance)” and substituting it with the following definition—
““principal representative (insurance)” means a person who—
(a) operates in Anguilla and, not being a bona fide employee of a licensed insurer,
maintains for an insurer full and proper records of the business activities of
that insurer; and
(b) holds a general trust licence issued under the Trust and Corporate Services
Providers Act; or Trust and Corporate Services Providers

(c) holds an insurance manager’s licence granted under this Act and maintains an
office and qualified staff in Anguilla;”.
Amendment to section 18
14. Section 18 of the principal Act is amended by deleting subsection (2) and substituting it
with the following subsection—
“(2) No company which is licensed pursuant to the Trust and Corporate Services
Providers Act is required to be licensed as a principal representative (Insurance).”.

LIMITED LIABILITY COMPANY ACT
Interpretation
15. In this Part, “principal Act” means the Limited Liability Company Act.
Amendment to section 1
16. Section 1 of the principal Act is amended by deleting the definition of “relevant licence”
and substituting it with the following definition—
““relevant licence” means a licence issued under the Trust and Corporate Services
Providers Act.”.
PART 8
LIMITED PARTNERSHIP ACT
Interpretation
17. In this Part, “principal Act” means the Limited Partnership Act
Amendment to section 1
18. Section 1 of the principal Act is amended by deleting the definition of “relevant licence”
and substituting it with the following definition—
““relevant licence” means a licence issued under the Trust and Corporate Services

Interpretation
19. In this Part, “principal Act” means the Trust Company Probate and Administration Act.
Amendment to section 1
20. Section 1 of the principal Act is amended by deleting the definition of “trust company” and
substituting it with the following definition—
““trust company” means the holder of a trust company licence under the Trust and
Corporate Services Providers Act.”.
PART 10
TRUSTS ACT
Interpretation
21. In this Part, “principal Act” means the Trusts Act.
Amendment to section 1
22. Section 1 of the principal Act is amended by deleting the definition of “trust company” and
substituting it with the following definition—
““trust company” means a company that holds a trust company licence under the Trust and
Corporate Services Providers Act.”.

FINANCIAL SERVICES ENACTMENTS REGULATIONS
Interpretation
23. In this Part, “Regulations” means the Financial Services Enactments Regulations.
Amendments to section 1
24. Section 1 of the Regulations is amended by—
(a) deleting paragraph (a) and substituting it with the following paragraph—
“(a) Trust and Corporate Services Providers Act;”; and
(b) deleting paragraph (i). Trust and Corporate Services Providers

ANTI-MONEY LAUNDERING AND TERRORIST FINANCING REGULATIONS
Interpretation
25. In this Part, “Regulations” means the Anti-money Laundering and Terrorist Financing
Regulations.
Amendment to section 1
26. Section 1 of the Regulations is amended by deleting paragraph (e) under the definition of
“independent legal professional” and substituting it with the following paragraph—
“(e) the creation, operation or management of trusts, foundations, companies or
similar structures, excluding any activity that requires a licence under the Trust
and Corporate Services Providers Act;”.
Amendment to Schedule 1
27. Schedule 1 of the Regulations is amended by deleting Item (c).
PART 13
EXTERNALLY AND NON-REGULATED SERVICE PROVIDERS REGULATIONS
Interpretation
28. In this Part, “Regulations” means Externally and Non-Regulated Service Providers
Regulations.
Amendments to Schedule 2
29. Schedule 2 is amended by—
(a) deleting Item 10(c)(v) and substituting it with the following Item—
“(v) the creation, operation or management of trusts, foundations, companies or
similar structures, excluding any activity that requires a licence under the
Trust and Corporate Services Providers Act.”; and
(b) deleting Item 16 and substituting it with the following Item—
“16. Do you hold any licence granted by the Financial Services Commission?
Yes No

Amendment to Schedule 4
30. Schedule 4 is amended by deleting paragraph (e) under the definition of “independent legal
professional” and substituting it with the following paragraph—

similar structures, excluding any activity that requires a licence under the Trust
and Corporate Services Providers Act:”.

31. This Act may be cited as the Trust and Corporate Services Providers (Miscellaneous

OBJECTS AND REASONS
(The objects and reasons do not form part of the Bill)
The Bill for consideration is the Trust and Corporate Services Providers (Miscellaneous
Amendments) Bill.
Part 1 of the Bill (clauses 1 to 2) provides for amendments to the Anguilla Foundation Act with
the interpretation provision (clause 1).
Clause 2 amends section 1 of the Anguilla Foundation Act to revise the definition of “relevant
licence” to refer to a licence issued under the Trust and Corporate Services Providers Act.
Part 2 of the Bill (clauses 3 to 4) provides for amendments to the Anguilla Utility Token Offering
Act, 2024, with the interpretation provision (clause 3).
Clause 4 amends section 25 of the Anguilla Utility Token Offering Act, 2024, to refer to the Trust
and Corporate Services Providers Act.
Part 3 of the Bill (clauses 5 to 6) provides for amendments to the Anguilla Utility Tokens
Exchange Act with the interpretation provision (clause 5).
Clause 6 amends section 49 of the Anguilla Utility Tokens Exchange Act to refer to the Trust and
Corporate Services Providers Act.
Part 4 of the Bill (clauses 7 to 9) provides for amendments to the Business Companies Act with
the interpretation provision (clause 7).
Clauses 8 and 9 amend sections 84 and 219 of the Business Companies Act to update licensing
references to the Trust and Corporate Services Providers Act.
Part 5 of the Bill (clauses 10 to 11) provides for amendments to the Commercial Registry and
Beneficial Ownership Registration System Act with the interpretation provision (clause 10).
Clause 11 amends section 1 of the Commercial Registry and Beneficial Ownership Registration
System Act to revise the definition of “trust or corporate services provider”.
Part 6 of the Bill (clauses 12 to 14) provides for amendments to the Insurance Act with the
interpretation provision (clause 12).
Clauses 13 and 14 amend sections 1 and 18 of the Insurance Act to revise the definition of
“principal representative (insurance)” and to clarify that a company licensed under the Trust and
Corporate Services Providers Act is not required to be licensed as a principal representative.
Part 7 of the Bill (clauses 15 to 16) provides for amendments to the Limited Liability Company
Act with the interpretation provision (clause 15).
Clauses 16 amends section 1 of the Limited Liability Company Act to update the definition of

Part 8 of the Bill (clauses 17 to 18) provides for amendments to the Limited Partnership Act with
the interpretation provision (clause 17).
Clause 18 amends section 1 of the Limited Partnership Act to revise the definition of “relevant
licence”.
Part 9 of the Bill (clauses 19 to 20) provides for amendments to the Trust Company Probate and
Administration Act with the interpretation provision (clause 19).
Clause 20 amends section 1 of the Trust Company Probate and Administration Act to revise the
definition of “trust company” to refer to the holder of a licence under the Trust and Corporate
Services Providers Act.
Part 10 of the Bill (clauses 21 to 22) provides for amendments to the Trusts Act with the
interpretation provision (clause 21).
Clause 22 amends section 1 of the Trusts Act to revise the definition of “trust company”.
Part 11 of the Bill (clauses 23 to 24) provides for amendments to the Financial Services
Enactments Regulations with the interpretation provision (clause 23).
Clause 24 amends section 1 of the Financial Services Enactments Regulations to update references
to the Trust and Corporate Services Providers Act.
Part 12 of the Bill (clauses 25 to 27) provides for amendments to the Anti-Money Laundering and
Terrorist Financing Regulations with the interpretation provision (clause 25).
Clauses 26 and 27 amend section 1 and Schedule 1 of the Anti-Money Laundering and Terrorist
Financing Regulations to update the definition of “independent legal professional” and remove the
reference to the Company Management Act, an Act that has been repealed.
Part 13 of the Bill (clauses 28 to 30) provides for amendments to the Externally and Non-
Regulated Service Providers Regulations with the interpretation provision (clause 28).
Clauses 29 and 30 amend Schedules 2 and 4 of the Externally and Non-Regulated Service
Providers Regulations to update references relating to the creation, operation or management of
trusts, foundations, companies or similar structures and to align licensing references with the Trust
and Corporate Services Providers Act.
Clause 31 deals with the citation provision of the Bill.
